EU B2B ordering terms

These Terms apply to orders placed by business customers established in EU Member States outside Poland.

2. Business customers only

1. The English ordering channel is available only to customers acting in the course of business.
2. The customer must provide valid company details and an active EU VAT number.
3. Emel.tech may verify the VAT number, business identity, delivery country and tax conditions before accepting the order.
4. We do not currently accept direct orders under these Terms from consumers, UK customers or customers outside the EU.

3. Products

1. Product characteristics, technical specifications, available variants and EU B2B order prices are shown on emel.tech.
2. Wallpanel devices include Wallpanel OS based on Android 14/AOSP.
3. Wallpanel OS does not include Google Play or Google Mobile Services.
4. A compatible Home Assistant environment, local network and suitable power supply may be required.
5. The power supply is not included unless expressly stated.
6. Devices support IEEE 802.3af PoE and a compliant 12 V DC power source according to the manual.
7. Product images are illustrative, although we aim to represent the real device accurately.

4. Order process

1. Orders are requested by email.
2. The customer should specify the model, frame color, quantity, company details, EU VAT number, billing details and delivery address.
3. An email request constitutes an invitation to agree an order and does not automatically bind Emel.tech.
4. We confirm availability, tax treatment, shipping, price and lead time.
5. A contract is formed when Emel.tech sends a written order acceptance.
6. We may decline an order if availability, legal, tax, payment, shipping or compliance conditions cannot be met.
7. Accepted email orders are registered in our order management system and assigned an order number.

5. Price and VAT

1. Prices are shown in EUR.
2. Current reference order prices are:
   • Wallpanel S8: 256 EUR;
   • Wallpanel S10: 309 EUR.
3. VAT treatment is confirmed before the order is accepted.
4. A 0% VAT intra-EU supply applies only if all statutory requirements are satisfied.
5. If the requirements are not satisfied, we may apply the legally required VAT treatment, request additional documents, refuse the order or propose another sales channel.
6. Shipping cost is additional unless explicitly included in the order confirmation.

6. Payment

1. EU B2B orders are paid by bank transfer.
2. Payment is due within 3 days after the order confirmation or pro forma invoice, unless agreed otherwise.
3. We may cancel an unpaid order.
4. Production or dispatch may begin only after cleared payment.
5. A final electronic invoice is issued according to applicable Polish law and may be delivered as a PDF visualisation.

7. Availability and delivery

1. In-stock products may be dispatched after acceptance and payment.
2. Made-to-order variants usually require about 30 calendar days.
3. Special variants require individual confirmation.
4. Shipping is organised through Furgonetka and selected carriers.
5. Shipping cost, carrier and delivery terms are confirmed individually.
6. If quantity exceeds stock, the full order is normally dispatched when complete unless partial shipment is agreed.
7. Tracking is provided where available.
8. The risk and delivery terms are defined in the written order confirmation and applicable law.

8. Customer duties

The customer must:

• provide accurate company, tax and delivery data;
• ensure that purchase, import and use are lawful in the destination country;
• use qualified personnel for installation where appropriate;
• use a compliant power source;
• follow safety instructions;
• install required updates;
• protect account and Home Assistant data.

9. Returns

1. The customer has no general consumer withdrawal right.
2. A return of a correctly supplied product requires prior written agreement.
3. The customer must not return a product without instructions.
4. Any agreed return cost and conditions are confirmed individually.

10. Defects and liability

1. To the extent permitted by law, statutory warranty for defects is excluded.
2. No separate commercial guarantee is provided unless agreed in writing.
3. This does not exclude liability that cannot legally be excluded, including fraudulent concealment, wilful misconduct or other mandatory liability.
4. The customer must report an issue promptly and provide reasonable evidence and diagnostic cooperation.
5. We may choose a commercially reasonable remedy agreed with the customer.
6. To the extent permitted by law, Emel.tech is not liable for indirect loss, lost profit, lost data, downtime or third-party service failure.
7. To the extent permitted by law, aggregate contractual liability is limited to the value of the affected order.
8. These limitations do not apply where prohibited by mandatory law.

11. Wallpanel OS

1. Wallpanel OS is part of the product.
2. Required updates are provided according to the contract and mandatory law.
3. Additional feature development may continue, but no fixed feature roadmap is guaranteed.
4. Third-party apps and user modifications may affect reliability.
5. Emel.tech is not responsible for issues caused solely by unsupported modification, incompatible software, incorrect wiring or power, unauthorised repair or failure to install a required update.

12. Intellectual property

Wallpanel OS, documentation, website materials, trademarks and original software components remain protected by applicable intellectual property rights. Purchase of a device does not transfer those rights beyond the licence and rights necessary to use the product.

13. Personal data

Personal data is processed according to the English Privacy Policy published on emel.tech.

14. Governing law and disputes

1. Polish law governs the contract, unless the written order confirmation states otherwise.
2. The United Nations Convention on Contracts for the International Sale of Goods is excluded to the extent legally effective.
3. B2B disputes are subject to the courts competent for the registered office of Emel.tech, unless mandatory law or an individual agreement provides otherwise.

15. Final provisions

1. The order confirmation may supplement or modify these Terms.
2. If an individual order confirmation conflicts with these Terms, the order confirmation prevails for that order.
3. Invalidity of one clause does not affect the remaining clauses.
